1. Scope
1.1 These terms and conditions apply to all contracts, services, and offers between
Nino Alonso / A Screen Production
(hereinafter "Contractor")
and its clients (hereinafter "Client"),
unless otherwise agreed in writing.
1.2 Deviating terms and conditions of the Client are not recognized unless the Contractor expressly agrees in writing.
2. Subject of the Contract
2.1 The Contractor provides services in the areas of content strategy, concept development, and implementation of moving image projects (e.g., corporate films, social media clips, explainer videos).
2.2 The type and scope of the services are derived from the respective offer, scope of services, or project briefing.
3. Scope of Services and Cooperation
3.1 The Contractor prepares a written offer or project plan for the Client with a description of services, schedule, and fees.
3.2 The Client shall provide all necessary documents, access data (e.g., hosting or social media accounts), as well as contact details and approvals in due time. Delays caused by incomplete cooperation extend the project period accordingly.
4. Fees and Payment Terms
4.1 Unless otherwise agreed, the fees stated in the offer apply plus statutory VAT.
4.2 Partial invoices shall be paid after completion of project milestones or monthly based on effort.
4.3 Payments are due within 14 days of invoice receipt without deduction. In case of default, interest of 9 percentage points above the base rate will be charged.
5. Usage Rights and Copyright
5.1 Upon full payment of the agreed remuneration, the Client receives simple, unlimited usage rights in time and place for the delivered media (videos, texts, graphics) for self-promotion.
5.2 Transfer, sublicensing, or public availability to third parties require the Contractor's written consent.
5.3 All copyrights and other protective rights to concepts, scripts, and raw material remain with the Contractor unless expressly agreed otherwise.
6. Warranty
6.1 Claims for defects require the Client to report obvious defects in writing within 5 working days after delivery.
6.2 For subsequent change requests not included in the original scope of services, the Contractor issues a separate change order.
7. Liability
7.1 The Contractor is liable without limitation for intent and gross negligence. For simple negligence only for breach of essential contractual obligations (cardinal duties), but limited to the contract value.
7.2 Liability for lost profit or other consequential damages is excluded.
8. Term and Termination
8.1 The contract begins with the signing of the offer and ends with acceptance of the service and full payment.
8.2 The right to extraordinary termination for good cause remains unaffected.
9. Data Protection
9.1 The Contractor undertakes to process personal data according to the GDPR. A separate privacy policy regulates details.
10. Final Provisions
10.1 Amendments and additions to this contract require written form.
10.2 Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
10.3 Place of performance and jurisdiction, if legally permissible, is the Contractor's business location.
